TERMS & CONDITIONS

By subscribing to the above plans, you agree to abide by our following additional terms and conditions

  1. Government Fee - State-Specific: Registrar of Societies filing fee (Rs.50 - Rs.500), stamp paper for MoA + Rules (Rs.100 - Rs.500), and notarisation + affidavits (Rs.300 - Rs.1,000) are payable to the respective state authorities and reimbursed at actuals. Udyam and GST government fees are NIL. Our fee covers professional services - MoA / Rules drafting, advisory, filing coordination, and (Enriched / Supreme) Udyam + GST application filing.
  2. GST on Our Fee: All quoted prices are exclusive of GST @ 18%, charged at checkout.
  3. Scope - What's Included: This service covers application filing and registration only - (a) Society Registration (all tiers), (b) Udyam (MSME) Registration (Enriched / Supreme), (c) GST Registration in 1 state under Regular scheme (Supreme only). Society PAN application is included in all tiers.
  4. Minimum Members: Society Registration under the Societies Registration Act, 1860 requires a MINIMUM OF 7 MEMBERS at incorporation. Some states (e.g., Andhra Pradesh, Telangana) require members from different families. We confirm state-specific member rules on the discovery call. Members are typically also Founder Office Bearers (President, Secretary, Treasurer).
  5. State Variation: The Societies Registration Act 1860 is a CENTRAL Act adopted by all states - but many states (Karnataka 1960, TN 1975, MP 1973, AP / Telangana 2001, Rajasthan 1958 etc.) have their own State Societies Registration Acts with state-specific procedural variations. Society is registered ONE state at a time - the registered office address determines the state. We file in the state of your registered office.
  6. Annual Compliance: Most states require an annual list of office bearers (and members in some states) to be filed with the Registrar of Societies. Audited accounts may be required if income exceeds state-specific thresholds. The annual filing itself is NOT included in registration tiers and is billed under our Annual Compliance retainer.
  7. Refund Policy: Full refund of professional fee (less Rs.1,499 documentation handling) is available if MoA + Rules are not finalised within 7 working days from receipt of complete 7-member inputs. State government fees, stamp paper, and notarisation costs already paid are non-refundable.
  8. 12A / 80G / CSR-1 / FCRA - Separate: Societies are eligible to apply for 12A (tax exemption), 80G (donor deduction), CSR-1 (CSR fund eligibility), and FCRA (foreign funding). These are SEPARATE registrations under the Income Tax Act / Companies Act / FCRA and are NOT included under this service. We file these as separate quoted engagements where requested.
  9. Out-of-Scope Items (Explicit List): 12A / 80G income tax registrations, CSR-1 filing with MCA, NGO Darpan registration with NITI Aayog, FCRA registration, conversion of Society to Section 8 Company or Trust, foreign-member KYC + apostille, multiple-state society registrations (each state requires separate filing), MoA / Rules amendments post-registration, annual compliance filings, audit, government grant applications, scheme benefit applications, and any tender / RFP preparation are NOT included under this service. We are happy to quote these separately on the discovery call.
Society Registration by Legal Terminus

Legal Terminus Priority

Society Registration may look simple, but the real strength of a Society depends on properly drafted Rules & Regulations and clear governance structure. The MoA and Rules define how the Society will operate, manage members, appoint office bearers, conduct meetings, and handle future decisions.

With LT Priority, your application is handled on a fast-track basis with dedicated professional support, quicker drafting, priority filing, and faster coordination throughout the registration process.

What you get

  • Priority processing for faster Society Registration filing and follow-up
  • 📑Professionally drafted MoA & Rules with proper governance clauses
  • Senior professional review of documents before final submission
  • 📲Real-time updates and dedicated coordination support
  • 📂Post-registration kit with Registration Certificate and compliance guidance

Important Notes

  • 7-member minimum is statutory - and in some states (AP, Telangana), members must be from at least 7 different families. Plan member composition carefully before drafting the MoA. We confirm state-specific rules on the discovery call.
  • Rules & Regulations determine 30-year governance. Wrong drafting (e.g., no clear quorum rules, no replacement-of-office-bearer mechanism, no member-expulsion procedure) creates governance disputes years later. Senior-professional drafting matters.
  • Society is STATE-LEVEL. The Society is registered in the state of its registered office - and that state's Societies Act + procedural variations apply. Multi-state operations need either (a) the parent Society + state branches (procedurally complex) or (b) multiple Societies (one per state).
  • Society vs Trust vs Section 8 Company - they're NOT interchangeable. Societies are member-driven (democratic governance via Office Bearers election). Trusts are founder/trustee-driven. Section 8 Companies are board/director-driven. Pick based on your governance preference - we advise on the discovery call.
Why choose Society Registration

Why Choose a Society

Society Registration in India is one of the most popular legal structures for non-profit organizations, educational institutions, cultural associations, welfare groups, clubs, and member-based organizations. Registered under the Societies Registration Act, 1860, a Society is formed by a group of individuals working together for a common social, charitable, educational, scientific, literary, religious, or professional objective. It provides legal recognition to the organization and enables it to open bank accounts, hold property, receive donations, and enter into agreements.

A Society is ideal for organizations that prefer a democratic and member-driven structure with collective decision-making. It is widely used by NGOs, welfare associations, educational groups, cultural organizations, resident welfare associations (RWAs), trade associations, and community initiatives. Compared to a Section 8 Company, Society Registration is generally more affordable and easier to manage while still offering strong credibility for social and non-profit activities.

Benefits of Society Registration in India

Society isn't just a cheap non-profit setup - it's the right governance model for member-driven missions. Here's what genuinely matters once registered:

Member-Driven Democratic Governance

Office Bearers (President, Secretary, Treasurer) are elected periodically per the Rules. Decisions flow through General Body meetings and Executive Committee meetings. The membership IS the institution - this is unique among non-profit structures and is the right fit for associations + collectives.

Separate Legal Identity

A registered society has a distinct legal existence for practical purposes — it can own property, open bank accounts, enter into contracts, and sue or be sued in the name of its office bearers. However, unlike a Private Limited Company or LLP, a registered society is not a body corporate and does not confer the same level of limited liability protection on its members.

Section 43B(h) 45-Day Payment Protection (with Udyam)

With Udyam Registration (Enriched / Supreme), your Society becomes an MSME entitled to Section 43B(h) protection - B2B buyers MUST pay you within 45 days or lose the tax deduction. Genuinely powerful for Societies generating revenue from services / training / events.

Government Tender Access (with Udyam)

Udyam-registered Societies qualify for the 25% reservation in central government procurement plus exemption from EMD on most tenders. Many state schemes prefer registered Societies in education / health / sports sectors with MSME / Udyam status.

12A + 80G + CSR-1 + FCRA Eligibility

Registered Societies are eligible to apply for 12A (income tax exemption), 80G (donor deduction eligibility), CSR-1 (CSR funding from corporates), and FCRA (foreign donations). These four registrations collectively unlock government grants, institutional funding, corporate CSR budgets, and international donor money — none of which are accessible without a registered society as the base entity.

Lower Setup vs Section 8 Co + Stronger Governance vs Trust

Society costs Rs.6K-Rs.14K total (vs Rs.15K-Rs.30K for Section 8). Has structured member-elected governance (vs Trust where Settlor-trustees dominate). Sweet spot for groups wanting collective ownership + reasonable cost.

A Society is commonly formed for charitable, educational, cultural, scientific, religious, sports, social welfare, or professional purposes. It requires a minimum of 7 members and is managed through elected office bearers and governing body members. Society Registration is generally suitable for NGOs, associations, clubs, alumni groups, welfare organizations, and community-based initiatives that prefer a democratic and member-driven structure.

The timeline includes drafting of documents, member verification, notarization, filing before the Registrar of Societies, and issuance of the Registration Certificate. Additional registrations such as PAN, UDYAM, or GST may require a few extra days.
UDYAM Registration helps eligible Societies obtain MSME recognition. This can be beneficial for societies involved in training, consultancy, educational services, skill development, events, or other revenue-generating activities. UDYAM Registration may help in government tenders, vendor onboarding, MSME benefits, and better payment protection under MSME provisions.
GST Registration may become necessary if the Society provides taxable services, conducts commercial activities, or crosses the prescribed GST turnover limit. Many organizations also prefer GST Registration for vendor empanelment, invoicing, and smoother business operations. The Supreme Plan includes GST Registration support with basic guidance on applicable service classifications and registration formalities.
The right structure depends on your objective and management style. A Society is generally suitable for democratic and member-driven organizations. A Trust is usually preferred for founder-controlled charitable activities. A Section 8 Company is often chosen where higher corporate governance and stronger institutional credibility are required. We help clients choose the most suitable structure based on their activities and future plans.
A minimum of 7 members is required for Society Registration in most states. Certain states may have additional conditions regarding member composition or family relations. Additional members can also be admitted later as per the Rules & Regulations of the Society.
