TERMS & CONDITIONS

By subscribing to the above plans, you agree to abide by our following additional terms and conditions

  1. Professional Fee Only: All quoted prices cover professional services — drafting of resolutions, preparation of forms, and ROC/RD filings. They are exclusive of MCA government fees, stamp duty, advertisement costs, and other out-of-pocket expenses.
  2. Government Fees Payable Separately: MCA fees for INC-22, MGT-14, INC-23, INC-28, RD application fees, and newspaper advertisement charges are payable to the authorities and reimbursed at actuals.
  3. GST on Our Fee: All quoted prices are exclusive of GST @ 18%, charged at checkout.
  4. Type of Change Determines Process: The procedure depends on the move — within the same city/local limits needs only a board resolution and INC-22; within the state across ROC jurisdiction needs a special resolution and may need RD approval; and a change from one state to another needs an MOA alteration, advertisement, and Regional Director approval. The applicable plan is confirmed before filing.
  5. Valid Address Proof Required: The new registered office must be supported by recent utility-bill proof (not older than two months), a rent agreement or ownership document, and a No-Objection Certificate from the owner where the premises are rented.
  6. Filing Timeline: Form INC-22 must generally be filed within 30 days of the change. Timely filing depends on the client providing signed resolutions, the new address proof, and the NOC promptly. Late filing attracts additional MCA fees.
  7. RD Approval is Discretionary: For a state-to-state change, the Regional Director's approval is required and is at the RD's discretion. Objections from creditors, employees, or authorities can extend the timeline. Legal Terminus prepares a complete application but does not guarantee approval or a fixed timeline.
  8. Post-Change Updates: After the registered office is changed on the MCA record, the new address must be updated on PAN, GST, bank, licences, letterheads, and statutory displays — included only in the plan that specifies it.
  9. Out-of-Scope Items: Change of company name, directors, or objects, GST registration in the new state, drafting of lease/rent agreements, and dispute resolution are not included and quoted separately.

Legal Terminus Priority

Changing a registered office looks like one form — but the right process depends entirely on how far you're moving, a missed special resolution stalls the filing, and an out-of-date address means MCA and tax notices go to the wrong place. Priority is what happens when a compliance expert maps the correct route and owns it from resolution to updated record.

What you get

  • The correct route mapped up front — within city, within state, or state-to-state — so you file exactly what the law needs and nothing more.
  • Properly drafted board and special resolutions, EGM notices, and MGT-14 where required — the paperwork that makes INC-22 go through.
  • Verified address proof and NOC so the new office isn't rejected on a documentation defect.
  • 🔄Regional Director application, advertisement, and dual-ROC coordination handled end-to-end for a state change.
  • 📑PAN, GST, bank, and licences updated to the new address so every official record agrees and no notice goes astray.

Important Notes

  • The process scales with the distance. A shift within the same city needs only a board resolution and INC-22; moving across ROC jurisdiction adds a special resolution and RD approval; and a state change adds an MOA alteration, newspaper advertisement, and a full Regional Director application. Getting the route right from the start avoids wasted filings.
  • File within 30 days. Form INC-22 must be filed within 30 days of the change of registered office. Delay attracts additional MCA fees, so the resolutions, address proof, and NOC should be ready before the move is finalised.
  • Address proof must be clean. A utility bill not older than two months, a valid rent agreement or ownership proof, and an owner's NOC are essential. A stale or mismatched document is a common reason for INC-22 rejection.
  • Update everything downstream. After the MCA record changes, the new address must flow to PAN, GST, bank, and licences. An old address left on these means statutory and tax notices keep going to a place you've left.

Why Update Your Registered Office

The registered office is the official address of a company — the place where the MCA, the Income Tax Department, and every other authority send legal notices, summons, and correspondence. Under Section 12 of the Companies Act, 2013, every company must maintain a registered office and intimate the Registrar of any change in it by filing Form INC-22, generally within 30 days. When you physically relocate, the legal address on record must follow, or important communications keep arriving at an address you have left.

The process scales with how far you move. A shift within the same city or local limits needs only a board resolution and Form INC-22. Moving to a different city within the state — across ROC jurisdiction — requires a special resolution and often Regional Director approval. A change from one state to another is the most involved: it alters the registered-office clause of the MOA and needs a special resolution, a newspaper advertisement, and Regional Director approval before the new address takes effect. Getting the correct route right is what keeps the change clean and compliant.

Types of Registered Office Change

01

Within the Same City / Local Limits

The simplest change — shifting the registered office within the same city, town, or village. It needs only a board resolution and the filing of Form INC-22 with the new address proof within 30 days. No special resolution or Regional Director approval is required, so it is the quickest and cheapest type of change.

02

Within the State (Different City / ROC)

Moving to a different city or town within the same state. This requires a special resolution passed by the members (filed in Form MGT-14) in addition to Form INC-22. Where the move shifts the company to the jurisdiction of a different Registrar of Companies, Regional Director approval is also needed before the change is registered.

03

From One State to Another

The most involved change, as it alters the registered-office clause of the Memorandum of Association. It requires a special resolution, a newspaper advertisement (Form INC-26), and an application to the Regional Director (Form INC-23). After the RD's order is obtained and filed (Form INC-28), Form INC-22 records the new address, coordinating with both the old and new ROCs.

Benefits of Updating Your Registered Office

Keeping your registered office current is not just a formality — it ensures you receive every legal notice, keeps you compliant, and aligns all your records with where the company actually operates.

Never Miss a Legal Notice

The registered office is where the MCA, tax department, and courts send notices. Keeping it current ensures every important communication reaches you on time — instead of going to a vacated address and being missed until it is too late.

Stay Compliant Under Section 12

The Companies Act requires the registered office to be intimated and kept up to date. Filing the change properly keeps the company compliant under Section 12 and protects the directors from penalties for maintaining a stale or non-existent address.

Consistent Across All Records

Once the new address flows through PAN, GST, bank, and licences, every official record agrees. That consistency prevents the address mismatches that cause rejected filings, KYC failures, and payment hold-ups.

Reflects Your Real Operations

When you relocate, expand, or move to a better-connected location, updating the registered office aligns your legal identity with where you actually work — keeping your public profile accurate for customers, vendors, and investors.

Smoother KYC & Due Diligence

Banks, tender authorities, and investors verify the registered office during KYC and due diligence. A current, consistent address across the MCA and tax records removes a common friction point and speeds up onboarding and deals.

Entity Continuity Preserved

Changing the registered office — even across states — does not change the company's identity. The CIN, history, contracts, and liabilities all continue unchanged; only the address on record is updated, so there is no disruption to the business.

Registered Office Change Process — Step by Step

Six steps from identifying the type of change to every record updated. The exact path depends on how far you move.

1

Identify the Type of ChangeStep 1

We first confirm how far you're moving — within the same city, to another city in the state, or to another state — because that determines the entire procedure. We map exactly which resolutions, forms, and approvals your change will require.

2

Board Resolution & Address ProofStep 2

We draft the board resolution approving the change and verify the new registered-office address proof — a utility bill not older than two months, the rent agreement or ownership document, and a No-Objection Certificate from the owner if the premises are rented.

3

Special Resolution (if required)Step 3

For a change beyond local limits, we prepare the EGM notice and special resolution and file Form MGT-14. For a state-to-state change, this resolution also alters the registered-office clause of the MOA.

4

RD Approval & Advertisement (if required)Step 4

Where the move crosses ROC jurisdiction or state lines, we publish the newspaper advertisement (Form INC-26) and file the application to the Regional Director (Form INC-23), responding to any objection until the RD order is obtained.

5

Filing Form INC-22Step 5

We file Form INC-22 — the notice of change of registered office — with the ROC within the prescribed time, attaching the resolutions, address proof, NOC, and RD order (where applicable). The new address is then recorded on the MCA register.

6

Update PAN, GST, Bank & LicencesStep 6

Once the change is registered, we help update the new address on the company's PAN, GST registration, bank account, and licences, and provide guidance for letterheads, signage, and statutory displays — so the new office reflects everywhere.

Change Registered Office — FAQs

Got questions? We've got answers — straight, no-BS, legally accurate.

The registered office is the official address of a company, recorded with the Registrar of Companies. It is the address where all official communications — from the MCA, the Income Tax Department, courts, and other authorities — are sent. Under Section 12 of the Companies Act, 2013, every company must maintain a registered office and keep its address up to date with the ROC.
You should change it whenever the company physically relocates — to new premises in the same city, a different city within the state, or another state altogether. Even a small shift to a new building requires the registered office on record to be updated, so that legal notices and correspondence continue to reach you.
A shift within the same city or local limits needs only a board resolution and Form INC-22. A move to a different city within the state requires a special resolution (Form MGT-14), and Regional Director approval if it changes the ROC. A change from one state to another also alters the MOA and needs a special resolution, newspaper advertisement, and Regional Director approval before INC-22 is filed.
Form INC-22 is the notice of situation or change of registered office filed with the ROC. It must generally be filed within 30 days of the change, with the new address proof, NOC, and relevant resolutions attached. Late filing attracts additional government fees, so it should be filed promptly after the move.
You need a recent utility bill of the new premises (electricity, water, gas, or telephone) not older than two months, a rent/lease agreement or ownership document, and a No-Objection Certificate (NOC) from the owner if the premises are rented. The proof must clearly show the address that is being registered.
No. RD approval is needed only when the change moves the company outside the jurisdiction of its current ROC — typically a move to a different city falling under another ROC, or a change from one state to another. A simple shift within the same city or within the same ROC's jurisdiction does not require RD approval.
No. Changing the registered office — even across states — does not change the company's identity. The CIN, incorporation history, PAN, contracts, and liabilities all continue unchanged. Only the address on record is updated, so there is no disruption to the company's existence or operations.
After the MCA record is updated, the new address should be reflected on the company's PAN, GST registration, bank account, Udyam, and other licences, as well as on letterheads, invoices, the name board at the office, and other statutory displays. Keeping all of these consistent avoids mismatches and compliance issues.
We identify the correct procedure for your type of move, verify the new address proof and NOC, draft the board and special resolutions, file Form MGT-14, INC-22, and (for a state change) handle the advertisement and Regional Director application — then help update PAN, GST, bank, and licences.
